Guide to being a Southway board member
This is not a complete set of rules and regulations but a brief introduction.
Board members play a significant role in the decision-making process, and can influence how the organisation acts and delivers its service.
The role brings significant responsibility. Here are the key issues to be aware of:
- All board members are equal.
- The board meets twice every three months, or more frequently depending on circumstances.
- Board members are expected to become members of working parties and sub-committees responsible for things such as finance and staffing.
- Board members should attend other meetings and events to represent the board.
- The board is legally responsible for all of the organisation's actions.
- Board members have the same liability as any other company director. The organisation takes out liability insurance that covers all but £1 of any liability. However, if the organisation acts negligently or illegally this insurance may be null and void.
- Board members have a legal responsibility to ensure the success of Southway Housing Trust.
- Board members first responsibility and commitment must be to Southway Housing Trust and not to any other organisation or group.
- Board members must sign the code of conduct and abide by it.
- Board members must declare any interests that they have in any other organisations that could potentially benefit from their position on the board.
- Board members must be prepared to take on new skills and attend training sessions where necessary.
Board member applicants need to recognise the time and commitment needed to steer the organisation to its goals. A survey of housing association board members in 2003, found that the average time needed to do the job properly was 26 days per year.
Skills and experience
Board members must possess a number of personal skills and qualities, such as:
- the ability to work as part of a team
- a commitment to equality and understanding of diversity
- the ability to understand and handle complex, sensitive and confidential information
- the ability to analyse information, identify issues, draw conclusions and reach decisions
- a commitment to social housing and the mission and values of Southway Housing Trust
- a direct knowledge of the needs and aspirations of the communities in South Manchester
- a commitment to put the interests of Southway Housing Trust first and share responsibility for board decisions
- questioning skills, and the ability to challenge appropriately
- good communication skills.
